Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Gilded platform at gildedhq.com and app.gildedhq.com (the "Service"), operated by Gilded ("we," "us," or "our"). By creating an account, subscribing to a plan, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Gilded is a software-as-a-service (SaaS) platform for wedding and event planners. The Service provides tools for creating proposals, contracts, and combined documents; collecting electronic signatures; collecting payments from clients; managing vendor contacts; building event timelines; and related business management features.

Gilded is a tool that facilitates your business operations. We are not a party to any agreement between you and your clients, and we do not provide legal, financial, tax, or insurance advice.

2. Accounts and Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You may invite additional users to your account under the Team plan. You are responsible for the actions of all users on your account.

3. Subscription Plans and Payment

### Pricing and Billing

The Service is offered under subscription plans (Basic, Pro, and Team) with pricing as displayed on our website. We may change pricing with 30 days' notice to existing subscribers. Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as expressly stated in these Terms.

### Free Trial

New accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will be placed in a read-only state. Your data will be retained for 90 days, after which it may be deleted.

### Founding Member Pricing

Accounts created during the founding member enrollment window receive discounted pricing for as long as the subscription remains active. If a founding member cancels and later resubscribes, founding member pricing is not guaranteed.

### Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. We do not provide prorated refunds for partial billing periods.

4. Client Payments and Stripe Connect

### Payment Processing

Client payments (deposits, installments, and balances) are processed through Stripe via Stripe Connect. By using the payment collection features, you agree to Stripe's Connected Account Agreement in addition to these Terms.

### Fee Structure

Stripe processing fees (2.9% + $0.30 for card payments, 0.8% capped at $5.00 for ACH bank transfers) are passed through to your client — not deducted from your payout. You receive the full amount you invoiced. Gilded does not charge a platform fee on any tier.

### Your Responsibility

You are solely responsible for the accuracy of payment amounts, descriptions, and due dates. Gilded facilitates payment collection but is not responsible for disputes between you and your clients regarding amounts owed, services rendered, or refund obligations. You are responsible for compliance with applicable tax laws, including collecting and remitting any sales tax.

### Refunds and Chargebacks

Refund requests from your clients are your responsibility to manage. Chargebacks initiated by your client's bank are handled through Stripe's dispute process. Gilded is not liable for chargeback fees, reversed payments, or any losses resulting from payment disputes.

5. Electronic Signatures

The Service provides electronic signature functionality. Electronic signatures facilitated through Gilded are intended to comply with the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA).

However, Gilded does not guarantee that any electronic signature will be legally enforceable in your jurisdiction or for your specific use case. You are responsible for determining whether electronic signatures are appropriate and legally sufficient for your contracts. We recommend consulting with an attorney regarding the enforceability of your specific agreements.

Gilded stores signed documents and audit trails but is not responsible for the legal validity of any contract or agreement executed through the Service.

6. Your Content and Data

### Ownership

You retain ownership of all content you create, upload, or store through the Service, including documents, client information, templates, branding assets, and event data ("Your Content"). You grant Gilded a limited license to use, store, process, and display Your Content solely for the purpose of providing the Service.

### Your Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Your Content, including the terms of any contracts or proposals you create using the Service. Gilded provides templates and section libraries as starting points only — they do not constitute legal advice, and you are responsible for ensuring your documents comply with applicable laws in your jurisdiction.

### Data Retention

If your account is terminated or your subscription expires, we will retain Your Content for 90 days. After that period, Your Content may be permanently deleted. You may export your data at any time while your account is active.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to send spam, unsolicited communications, or fraudulent payment requests
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Resell, sublicense, or provide the Service to third parties without our written consent
  • Use the Service in any way that could damage, disable, or impair our servers or networks
  • Impersonate another person or entity

We may suspend or terminate your account for violations of this section.

8. Third-Party Services

The Service integrates with third-party services including but not limited to Stripe (payment processing), Twilio (SMS notifications), and Resend (email delivery). These integrations are provided for your convenience.

Gilded is not responsible for the availability, accuracy, security, or performance of any third-party service. Each third-party service is governed by its own terms of service and privacy policy. A disruption, outage, or security breach at a third-party provider is not a breach of these Terms by Gilded.

You acknowledge that:

  • Payment processing depends on Stripe's systems and is subject to Stripe's terms
  • SMS and email delivery depend on third-party carriers and are not guaranteed
  • Third-party services may change their terms, pricing, or availability without notice to Gilded

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding availability — we do not guarantee uninterrupted, timely, secure, or error-free operation of the Service
  • Warranties regarding accuracy — we do not guarantee that document templates, merge fields, calculations, or any automated features will produce accurate or legally compliant results
  • Warranties regarding delivery — we do not guarantee that emails, SMS messages, payment requests, or electronic signature requests will be delivered successfully or on time
  • Warranties regarding data — while we use commercially reasonable measures to protect your data, we do not guarantee that your data will never be lost, corrupted, or accessed by unauthorized parties

You acknowledge that you use the Service at your own risk and that you are solely responsible for verifying the accuracy and completeness of any documents, payments, or communications generated through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

A. Cap on Damages. Our total aggregate liability to you for any and all claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to Gilded during the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

B. Exclusion of Damages. In no event shall Gilded, its owners, officers, employees, or affiliates be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business, or anticipated savings
  • Loss of data or goodwill
  • Cost of procurement of substitute services
  • Damages arising from failed or delayed payment processing, including late fees, penalties, or interest your clients may owe you
  • Damages arising from electronic signature failures, including contracts that are not executed, not delivered, or deemed unenforceable
  • Damages arising from missed or failed SMS, email, or other notifications
  • Damages resulting from unauthorized access to your account due to your failure to maintain the security of your credentials

C. Basis of the Bargain. You acknowledge that the limitations in this section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and Gilded. The Service would not be provided without these limitations.

D. Applicability. These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Gilded has been advised of the possibility of such damages, and even if a limited remedy is found to have failed its essential purpose.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gilded and its owners, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your Content, including any contracts, proposals, or other documents you create
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any dispute between you and your clients, vendors, or other third parties
  • Any claim that your use of the Service infringes the rights of a third party

12. Intellectual Property

All rights, title, and interest in and to the Service — including its design, code, features, documentation, templates, and branding — are and shall remain the exclusive property of Gilded. These Terms do not grant you any rights to use Gilded's name, logo, or trademarks without our prior written consent.

Section templates and content provided through the Service are licensed for your use within the Service only. You may use generated documents (proposals, contracts, PDFs) in your business, but you may not extract, redistribute, or resell the template library or any other proprietary content.

13. Communications

By creating an account, you consent to receive transactional emails related to your account and use of the Service (e.g., payment confirmations, document notifications, signature requests). These communications are a necessary part of the Service and cannot be opted out of while your account is active.

You may also receive product updates, tips, and marketing communications. You can unsubscribe from non-transactional emails at any time using the link provided in each email.

14. Termination

### By You

You may close your account at any time through the Service or by contacting us. Cancellation of your subscription does not immediately close your account — you retain access until the end of the billing period.

### By Us

We may suspend or terminate your account at any time if:

  • You violate these Terms
  • Your payment method fails and you do not resolve it within 14 days
  • We reasonably believe your account is being used for fraudulent or illegal activity
  • We discontinue the Service (with 90 days' notice)

### Effect of Termination

Upon termination, your right to use the Service ceases immediately (or at the end of the billing period, if you cancelled). Sections 6 (Your Content — data retention), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), 12 (Intellectual Property), and 15 (Governing Law) survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by JAMS in Los Angeles County, California, under its Streamlined Arbitration Rules. The arbitrator's decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action.

For claims under $10,000, either party may elect to resolve the dispute in small claims court in Los Angeles County, California, instead of arbitration.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before the effective date.

17. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gilded regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time.
  • Force Majeure. Gilded is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
